General terms and conditions of sale
Clause 1: Purpose and scope of application
The present general terms and conditions of sale (GTCS) constitute the basis of the commercial negotiation and are systematically sent or given to each purchaser to enable him to place an order.

The general terms and conditions of sale described below detail the rights and obligations of S&D Dresses (company name) and its customer in the context of the sale of the following goods: Evening Dresses

Any acceptance of the quotation/order form, including the clause ‘I acknowledge that I have read and accept the attached general terms and conditions of sale’ implies the buyer's unreserved acceptance of these general terms and conditions of sale.

 

Clause 2: Prices
The prices of the goods sold are those in force on the day the order is taken. They are denominated in euros and do not include carriage costs. Consequently, they will be increased by the transport costs applicable on the day of the order.

S&D Dresses (company name) reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated when the order is registered.

Clause 3: Discounts and rebates
The prices quoted include any discounts and rebates that S&D Dresses (the company's 

may be required to grant on the basis of its results or the assumption of responsibility by the purchaser for certain services.

Clause 4: Discount
No discount will be granted for early payment.

Clause 5: Terms of payment
Orders must be paid for :

either by credit card ;

or by Pay Pal

Clause 6: Late payment
In the event of total or partial non-payment of goods delivered on the due date, the buyer must pay S&D Dresses (company name) a late payment penalty equal to three times the legal interest rate.

The legal interest rate shall be that in force on the date of delivery of the goods.

From 1 January 2015, the legal interest rate will be revised every 6 months (Order no. 2014-947 of 20 August 2014).

This penalty is calculated on the amount including tax of the sum still due, and runs from the due date of the price without the need for any prior formal notice.

In addition to the late payment penalties, any sum, including the deposit, not paid by the due date will automatically give rise to the payment of a fixed penalty of 40 euros to cover collection costs.

Articles 441-10 and D. 441-5 of the French Commercial Code.

Clause no. 7: Resolutive clause
If, within fifteen days of the implementation of the ‘Late Payment’ clause, the buyer has not paid the sums still due, the sale will be cancelled by operation of law and may give rise to a claim for damages against S&D Dresses (company name).

Clause n° 8 : Clause of property reserve
The company S&D Dresses (company name) retains ownership of the goods sold until full payment of the price, principal and accessories. As such, if the buyer is the subject of a receivership or liquidation, the company S&D Dresses (company name) reserves the right to claim, as part of the collective proceedings, the goods sold and remained unpaid.

Clause 9: Delivery
Delivery is made :

either by handing over the goods directly to the buyer ;

or by sending a notice to the purchaser that the goods are available in the warehouse;

by depositing the goods at the place indicated by the purchaser on the order form.

The delivery time indicated when the order is placed is given as an indication only and is in no way guaranteed.

Consequently, any reasonable delay in the delivery of the products may not give rise to :

the award of damages ;

cancellation of the order.

Le risque du transport est supporté en totalité par l'acheteur.

En cas de marchandises manquantes ou détériorées lors du transport, l'acheteur devra formuler toutes les réserves nécessaires sur le bon de commande à réception desdites marchandises. Ces réserves devront être, en outre, confirmées par écrit dans les cinq jours suivant la livraison, par courrier recommandé AR adressé à la société.

Clause n° 10 : Force majeure
La responsabilité de S&D Dresses (dénomination sociale) ne pourra pas être mise en oeuvre si la non-exécution ou le retard dans l'exécution de l'une de ses obligations décrites dans les présentes conditions générales de vente découle d'un cas de force majeure. À ce titre, la force majeure s'entend de tout événement extérieur, imprévisible et irrésistible au sens de l'article 1148 du Code civil.

Clause n° 11 : Tribunal compétent
Tout litige relatif à l'interprétation et à l'exécution des présentes conditions générales de vente est soumis au droit français.

À défaut de résolution amiable, le litige sera porté devant le Tribunal de commerce de Briey (lieu du siège social).
